8th April 2026, Kathmandu
Strengthening its position in the Nepalese financial landscape, Kamana Sewa Bikas Bank Limited (KSBBL) has officially announced its foray into the merchant banking sector.
KSBBL Enters Merchant Banking
The bank is in the final stages of acquiring the promoter shares of Aakash Capital Limited, which will now operate as its subsidiary.
Approval from Nepal Rastra Bank (NRB)
The bank has secured the necessary principal approval from Nepal Rastra Bank to operate Aakash Capital as its subsidiary.
This follows a previous Share Purchase Agreement (SPA) signed between Kamana Sewa Bikas Bank and the existing promoters of Aakash Capital. With the central bank’s green light, the path for capital investment and organizational integration is now clear.
Next Steps: SEBON Registration and Licensing
Following the NRB approval, the bank is proceeding with the legal and regulatory formalities as per Nepal’s securities laws. The bank is currently preparing to complete the registration and licensing process with the Securities Board of Nepal (SEBON). Once these statutory requirements are met, merchant banking operations will officially commence.
Rebranding to ‘Kamana Sewa Capital Limited’
Upon completion of the acquisition, the entity currently known as Aakash Capital will undergo a complete rebranding. The bank has confirmed that the new subsidiary will be named “Kamana Sewa Capital Limited.”
This alignment ensures that the subsidiary benefits from the established brand equity and trust of Kamana Sewa Bikas Bank.
Scope of Merchant Banking Services
Through this new venture, Kamana Sewa Capital aims to provide a comprehensive suite of specialized financial services, including:
Issue Management: Managing Public Offerings (IPO/FPO) and Right Shares.
Share Registrar (RTS/RTA): Handling shareholder records and dividend distributions.
Portfolio Management Services (PMS): Expert investment advisory and wealth management.
Underwriting: Guaranteeing the sale of newly issued securities.
Depository Participant (DP): Providing Demat account services for investors.
Impact on Nepal’s Capital Market
The establishment of Kamana Sewa Capital is expected to be a milestone for both the bank and the national economy. By offering “one-stop” financial solutions ranging from traditional retail banking to advanced stock market services, the bank aims to simplify the investment journey for its customers.
“We are committed to delivering a superior investment experience through our subsidiary, leveraging technology and expertise to contribute positively to the growth of Nepal’s capital market.”
Conclusion
This strategic expansion positions Kamana Sewa Bikas Bank as a more competitive and versatile player in the financial sector.
For investors in both the primary (IPO) and secondary markets, the arrival of Kamana Sewa Capital introduces a reliable, bank-backed institution to manage their financial assets.
