Prabhu Bank Limited Opens Sale of 41900 Founder Shares to the General Public
29th July 2026, Kathmandu
Prabhu Bank Limited has officially opened the sale of 41,900 units of founder shares to general public investors.
Prabhu Bank Founder Shares
This move comes after the existing promoter shareholders chose not to exercise their right of first refusal during the initial priority purchase period. The offered shares, owned by three existing founder shareholders, are now accessible to interested and eligible individual or institutional buyers in line with the regulations set by Nepal Rastra Bank.
Prioritizing Existing Shareholders First
Under the regulatory guidelines issued by Nepal Rastra Bank, financial institutions are obligated to first offer any founder shares intended for transfer or sale exclusively to existing promoter shareholders. In compliance with this requirement, Prabhu Bank issued a notice offering the 41,900 shares to its current founder members for a mandatory period of 35 days. However, as no valid applications were received from the current promoters within the specified timeframe, the bank cleared the path to make the shares available to the general public.
Application Guidelines and Timeline
Investors who fulfill the eligibility conditions established by Nepal Rastra Bank are invited to apply for these founder shares. Prospective buyers must collect, fill out, and submit the required application form along with all supporting financial and identity documentation within 15 days from the date of the public notice issue. Applications, along with the necessary documentation, must be directly submitted to the Central Office of Prabhu Bank, located at Babarmahal, Kathmandu.
An Opportunity for Strategic Investors
The decision to offer these founder shares publicly presents a notable opportunity for individual and institutional investors looking to acquire a sizable stake in one of Nepal’s established commercial banks. Purchasing founder shares gives investors equity ownership in the institution under the structural regulatory framework governing promoter holdings in Nepal’s banking sector. All interested applicants are strongly encouraged to review the eligibility criteria thoroughly and submit their documents well before the 15-day application window closes.
