Kalinchowk Darshan Limited has officially convened its 12th Annual General Meeting (AGM) for Ashwin 16, 2083 (October 2, 2026).

The meeting was called following a decision made during the company 102nd Board of Directors meeting on Bhadra 24. Key proposals include the endorsement of an 8.5 percent bonus share, a subsequent 1:1 rights share issue, and business diversification into non tourism commercial sectors.

The general meeting will review routine governance matters, audited accounts, and corporate appointments for the concluding fiscal year.
- Event Schedule: The assembly will take place on Friday, Ashwin 16, 2083 (October 2, 2026), starting at 11:30 AM at German Homes Hotel, Gatthaghar, Madhyapur Thimi.
- Financial Approvals: Shareholders will review and vote on the annual report for fiscal year 2025/26 presented by the Board Chairman, alongside the audited balance sheet, profit and loss statement, and cash flow statement.
- Statutory Appointments: The AGM will consider the appointment of an independent auditor for fiscal year 2026/27, determine auditor remuneration, and ratify director appointments for their remaining terms.
Dividend Declaration and Capital Restructuring Details
The company has proposed a structured capital management plan involving bonus shares, tax coverage dividends, and a substantial rights offering.
- Bonus Share Payout: A proposal to issue 8.5 percent bonus shares worth Rs 53.55 million based on the existing paid-up capital of Rs 630 million will be presented for shareholder approval.
- Cash Dividend for Tax Purposes: A cash dividend of 0.4474 percent amounting to Rs 2,818,421 will be distributed to cover applicable shareholder taxes on the bonus shares.
- Capital Adjustment Post-Bonus: Following the bonus issuance, the paid-up capital will increase to Rs 683.55 million.
- 1:1 Rights Share Issue: Subsequent to the bonus share allotment, the company plans to issue 6,835,500 rights shares at a 1:1 ratio (100 percent) with a face value of Rs 100 per share, doubling total paid-up capital upon completion.
Business Scope Expansion and Regulatory Authorization
To broaden revenue streams, Kalinchowk Darshan Limited proposes diversifying into multiple economic sectors.
- New Business Sectors: The company will seek approval to enter agriculture, hydropower, information technology, and manufacturing industries.
- Capital Increase and Clause Amendments: Amendments will be introduced under Clause 4 of the Memorandum of Association to adjust company objectives and increase authorized and paid-up capital limits.
- Board Authority: Full authority will be delegated to the Board of Directors to enact necessary modifications requested by the Office of the Company Registrar or the Securities Board of Nepal (SEBON).
Shareholder Eligibility and Book Closure Notice
The company has finalized its registration timeline ahead of the general assembly.
- Book Closure Date: The shareholder registration book will remain closed for one day on Friday, Ashwin 9, 2083.
- Voting Eligibility: Only shareholders registered in the company records prior to the book closure date will be eligible to attend the AGM, vote, and claim the proposed bonus shares.
