NIFRA Calls 8th AGM on Ashoj 23 to Endorse 5.2632% Cash Dividend

Nepal Infrastructure Bank Limited (NIFRA) has officially convened its 8th Annual General Meeting (AGM) for Ashoj 23, 2083.

The decision was approved during the 193rd board of directors meeting.

AGM Date and Time: Ashoj 23, 2083, Friday (9:00 AM)
Venue: Anupam Foodland and Banquet, Battisputali, Kathmandu
Total Proposed Cash Dividend: 5.2632% of paid-up capital (inclusive of dividend tax)
Total Cash Dividend Amount: NPR 1.136 Billion (NPR 1 Arba 13 Crore 68 Lakh 51 Thousand 200)
Paid-Up Capital: NPR 21.60 Billion (NPR 21 Arba 60 Crore)
Regulatory Approval: The cash dividend will be distributed post-AGM endorsement and subsequent approval from the Ministry of Finance per the Companies Act, 2063.

Financial Reports Approval: Endorsement of the FY 2082/83 Board of Directors report, auditor report, balance sheet, and financial statements.
Auditor Appointment: Appointment of the external auditor for FY 2083/84 and determination of remuneration.
Director Appointment Approval: Ratifying the board appointment of Anita Rayamajhi for the remaining term following the resignation of Lima Adhikari Acharya (elected from the public shareholder group).

Book Closure Date: Ashoj 14, 2083 (for one day).
Shareholder Eligibility: Shareholders registered in the book closure records via Nepal Stock Exchange (NEPSE) and share registrar Global IME Capital by Ashoj 13, 2083, will be eligible to participate in the AGM, vote, and receive the cash dividend.
