Shine Resunga Development Bank Calls 18th AGM Proposals Dividend Share Capital Increase

Shine Resunga Development Bank Limited has published a notice convening its 18th Annual General Meeting (AGM).

The decision was made during the 339th meeting of the bank’s Board of Directors held on Ashoj 02, 2083.

Meeting Schedule and Venue

The AGM is scheduled to take place with the following time, date, and venue details.

• Date and Time: Ashoj 28, 2083, Wednesday (October 14, 2026) starting at 11:30 AM.
• Location: Hotel Saffron C.K. Pvt. Ltd. (Hyatt Place), Butwal, Rupandehi.

Key Agendas and Proposed Dividend

The AGM will discuss and vote on several ordinary and special resolutions, including dividend distribution.

Ordinary Agendas: Approval of the annual report for FY 2082/83, endorsement of audited financial statements (balance sheet, profit/loss, cash flow) for the period ending Ashadh end, 2083, appointment of auditors for FY 2083/84 along with their remuneration, and approval of a 10 percent cash dividend totaling NPR 502,193,232.99 (including tax on bonus shares and cash dividend).

Special Agendas: Endorsement of a 6 percent bonus share distribution amounting to NPR 301,315,938.80 from accumulated profits, enabling an increase in paid-up capital, necessary amendments to the Memorandum and Articles of Association, revision of board meeting allowances and benefits, and delegation of authority to the Board of Directors to make amendments requested by regulatory authorities.

Book Closure and Shareholder Eligibility

The bank has set specific dates for shareholder registration and eligibility regarding dividend distribution and AGM attendance.

• Book Closure Date: The shareholder register book will remain closed on Ashoj 13, 2083.
• Dividend and Voting Eligibility: Only shareholders registered on the Nepal Stock Exchange (NEPSE) till Ashoj 12, 2083, based on records provided by the share registrar NIMB Ace Capital Limited, will be eligible to participate, vote, and receive dividend payouts.
