Rapti Hydro Receives Electricity Regulatory Commission Approval for 3,081,262 Unit Right Share Issue

Rapti Hydro and General Construction Limited has received prior approval from the Electricity Regulatory Commission (ERC) to issue right shares.

The developer of the 5 MW Rukumgad Hydropower Project located in Rukum district was granted permission during the commission’s 320th meeting to issue right shares at a ratio of 1:0.2514 based on its current paid-up capital.
Right Share Details and Debt Settlement Purpose
The proceeds from the right share issuance will be dedicated toward settling the company’s outstanding bank loans.
- Approved Issue Volume and Amount: 3,081,262.45 units of right shares valued at NPR 308,126,245 (par value NPR 100 per share).
- Issuance Ratio: 1:0.2514 against existing paid-up capital.
- Current Paid-Up Capital: NPR 1,225,587,600.
- Initial Proposal: The company had initially applied to issue 5,713,034.86 units at a 1:0.4661 ratio worth NPR 571,303,486.
- ERC Regulatory Decision: The commission declined the portion intended to repay debts owed to the promoter company (Inspire Clean Energy Limited), as it falls outside regulatory guidelines, approving only the amount required to clear bank consortium loans.
- Consortium Loan Status: Based on data from Prime Commercial Bank and Laxmi Sunrise Bank, the company’s total outstanding loan balance stands at NPR 349,841,374.20.
