NIFRA Convenes 8th Annual General Meeting on Ashwin 23 to Endorse 5.26 Percent Dividend

Nepal Infrastructure Bank Limited (NIFRA) has announced its 8th Annual General Meeting (AGM) scheduled for October 9, 2026 (Ashwin 23, 2083 BS).
NIFRA Convenes 8th AGM
The meeting venue and agenda were confirmed during the bank’s Board of Directors meeting held on September 17, 2026 (Ashwin 1, 2083 BS). The AGM will commence at 9:00 AM at Anupam Foodland & Banquet, Battisputali, Kathmandu.
AGM Agenda, Financial Reports, and Auditor Appointment
The general assembly will review and vote on several core corporate governance and financial matters.
- Financial Approvals: Discussion and endorsement of the Board of Directors’ report, auditor’s report, and financial statements for Fiscal Year 2082/83.
- Auditor Appointment: Appointment of an external auditor for Fiscal Year 2083/84 and determination of their remuneration.
- Auditor Rotation Requirement: BRS Neupane & Co., Chartered Accountants, will not be reappointed, having completed three consecutive years of auditing for the bank.
- Board Member Ratification: Approval of the board’s decision to appoint Anita Rayamajhi as a director representing public shareholders for the remainder of the tenure, filling the seat vacated by Lima Adhikari Acharya.
Dividend Proposal, Regulatory Approval, and Book Closure Date
Shareholders will vote on the cash dividend distribution for the previous fiscal year alongside book closure specifications.
- Dividend Payout: Proposed cash dividend of 5.2632 percent of paid-up capital, totaling NPR 1,136,851,200 (NPR 1.136 billion).
- Tax Provisions: The proposed cash dividend amount includes applicable dividend tax.
- Execution Condition: Distribution is subject to final approval by the AGM and subsequent authorization from the Ministry of Finance.
- Book Closure Date: The shareholder register book will be closed for one day on October 01, 2026 (Ashwin 14, 2083 BS).
- Dividend Eligibility: Investors trading on NEPSE and registered as shareholders up to September 30, 2026 (Ashwin 13, 2083 BS) are eligible to vote and receive the approved dividend.
