Hathway Investment Reschedules AGM
Hathway Investment Nepal Limited (HATHY) has officially rescheduled its 17th Annual General Meeting (AGM), which was initially planned for September 10, 2025 (Bhadra 25, 2082). The meeting will now be held on September 16, 2025 (Bhadra 31, 2082), at the Amrapali Banquet in Kathmandu, commencing at 10:00 AM. This decision was made to ensure the safety of shareholders in the wake of recent nationwide protests and related unrest. By rescheduling, the company is demonstrating its commitment to stakeholder well-being while maintaining the integrity of its corporate governance.
Key Agendas for the Rescheduled AGM
The rescheduled AGM will address a number of critical proposals that are significant for the company’s future and its shareholders. The main agendas include:
Dividend Distribution: The board of directors has proposed a generous dividend package, which includes a 12% bonus share issuance from the company’s paid-up capital. Additionally, a 0.632% cash dividend will be distributed to cover the tax obligations that arise from the bonus shares. This dividend proposal reflects the company’s strong financial performance and its dedication to rewarding its investors.
Corporate Governance: The AGM will also focus on strengthening the company’s governance structure. This includes the election of four directors to represent Group C shareholders on the board and the approval of the appointment of independent directors. These measures highlight Hathway Investment’s commitment to enhancing transparency, accountability, and shareholder participation.
Amendments to Corporate Documents: The meeting will also authorize the board to make necessary amendments to the company’s memorandum and articles of association. This is a crucial step to ensure that the company’s corporate documents are aligned with its current structure and comply with regulatory requirements.
Eligibility and Important Information for Shareholders
For the purpose of attending the AGM and receiving the proposed dividend, Hathway Investment had previously announced a one-day book closure on August 29, 2025 (Bhadra 13, 2082). This means that only shareholders who were registered on the Nepal Stock Exchange (NEPSE) by the end of trading on August 28, 2025 (Bhadra 12, 2082) are eligible to participate in the meeting and are entitled to receive the approved bonus shares and cash dividend. It is important for shareholders to ensure their records are accurate and up-to-date to avoid any issues with receiving their dividends.
The AGM serves as a vital platform for the company to directly engage with its investors. Shareholders attending the meeting will have the opportunity to vote on key resolutions, ask questions about the company’s operations, and gain valuable insights into its future business plans. The company’s decision to proceed with the meeting just a few days after the initial postponement signals a return to a more stable environment and demonstrates its resilience in the face of external challenges. By moving forward with the AGM, Hathway Investment is reinforcing its dedication to transparency, profitability, and sustainable growth, while also ensuring the safety of its shareholders.
