Mountain Energy Nepal, a prominent player in the Nepali hydropower sector, successfully held its 12th Annual General Meeting (AGM). The key highlight of the event was the approval of a significant 20% Bonus Share for its shareholders, alongside a cash dividend.

The AGM, chaired by Company Chairman Pradeep Jung Pandey, was held today and saw the passage of several vital resolutions. This decision ensures immediate distribution of the dividends to investors. The AGM confirmed the company’s strong financial performance in the last fiscal year.
Key Dividend Decisions Ratified
The general assembly passed the Board of Directors’ proposal to distribute a total dividend of 21.0526% from the profits of the fiscal year 2081/82.
This total includes a 20% Bonus Share from the company’s current paid-up capital.
The remaining 1.0526% will be distributed as a cash dividend, primarily for tax purposes related to the bonus share distribution.

Chairman Pandey presented the annual report for the fiscal year 2081/82, which the assembly thoroughly discussed and subsequently passed. Auditing and Governing Changes
In line with standard corporate governance practices, the AGM passed a resolution under Section 111 of the Company Act 2063. This decision involves the appointment of an auditor for the fiscal year 2082/83 and the determination of their remuneration.
Furthermore, the assembly granted authority to the Board of Directors. This authorization allows the board to make necessary amendments to the Memorandum of Association (MOA) and Articles of Association (AOA) as required. This move provides the company with the flexibility needed to adapt to future regulatory changes and operational requirements.
Current Operational Highlights
Mountain Energy Nepal currently operates two key hydropower projects that are contributing consistently to the national grid.

Misty Khola Hydropower Project: This project has a generation capacity of 42 MW.

Tadi Khola Hydropower Project: This project adds 5 MW to the company’s total generation.
