Nepal SBI Bank Limited is conducting its 31st Annual General Meeting (AGM) today, January 5, 2025 (Poush 21, 2081), at the Tribhuvan Army Officers’ Club, Bhadrakali, Kathmandu. The meeting is scheduled to begin at 11:00 AM.

Key Agenda of the AGM

Dividend Proposal:

3.80% Bonus Shares

6.85% Cash Dividend (including tax)

Approval of Financial Reports:

Discussion and approval of last fiscal year’s annual and audit reports along with other financial statements.

Auditor Appointment:

Appointment of an external auditor for the current fiscal year and determination of their remuneration.

Merger Authorization:

Approval to grant authority to the Board of Directors for initiating necessary actions for potential mergers with other suitable banks and financial institutions.

Amendments:

Proposal to amend the bank’s Articles of Association and Memorandum of Association as necessary.

Book Closure Details

The bank had already conducted a book closure on December 22, 2024 (Poush 7, 2081), for the AGM and dividend distribution. Only shareholders who held shares up to December 19, 2024 (Poush 4, 2081) are eligible to attend the meeting and receive the proposed dividends.

The AGM will address key financial decisions and set the direction for the bank’s future, including dividend payouts, financial plans, and potential mergers, ensuring the shareholders’ interests are prioritized.
