NIC Asia Capital has significantly expanded its merchant banking services by launching a comprehensive institutional advisory program called “IDEA to IPO” and a dedicated “One Stop IPO Facilitation Service.”

These initiatives are designed to guide companies from their initial business concept through to the successful issuance of an Initial Public Offering (IPO), addressing common challenges related to legal compliance and regulatory requirements along the way.
The IDEA to IPO Program
The “IDEA to IPO” program serves as a full-spectrum advisory service that supports companies across their entire lifecycle, focusing on sustainable growth and eventual public listing.
Service Scope: This is a comprehensive merchant banking offering that provides support from the ideation stage to company establishment, scaling, growth, and finally, the issuance of an IPO.

Early Success: The program has demonstrated rapid success, having already signed agreements with 34 companies. From this portfolio, 20 private companies have been successfully converted into public companies and are currently in the IPO preparation pipeline, while 6 companies have already successfully issued their IPOs to the public.
One Stop IPO Facilitation Service
Recognizing the challenges companies face with legal compliance, strict regulatory requirements, and corporate governance standards, NIC Asia Capital launched the “One Stop IPO Facilitation Service.” This service packages essential preparatory and post-IPO compliance support at minimal fees.
IPO Readiness Assessment Test (RATE)
The IPO Readiness Assessment Test (RATE) is a fundamental part of the one-stop service, acting as a diagnostic tool to assess a company’s suitability for a public offering.
Assessment Areas: RATE examines critical areas of the company’s operation and structure, including its capital structure, memorandum and articles of association, financial condition, legal compliance, investor psychology, and the specific requirements mandated by the Securities Board of Nepal (SEBON).
Gap Analysis: A detailed Gap Analysis report is prepared based on the assessment. This report clearly outlines the weaknesses and deficiencies that must be addressed and improved to achieve IPO readiness.
Recommendation: Based on the comprehensive analysis, the capital provides a definitive recommendation on the optimal issuance method, advising whether the IPO should be issued at par value, premium, or under the book building method.
Action Plan: Companies that meet the eligibility criteria will proceed immediately to the IPO process. Those that are not yet eligible will receive a detailed improvement plan and timeline to guide them toward compliance and readiness.

The “One Stop IPO Facilitation Service” offers a suite of ongoing corporate and regulatory services to ensure long-term compliance and smooth operations for companies planning to go public.
Regulatory Documentation: Providing assistance with the documentation required for registering new private or public companies and supporting the process of updating and amending the memorandum and articles of association.
Capital and Financial Management: Offering capital restructuring services and expert advisory on IPO pricing and issuance method.
