Swabhimaan Laghubitta Bittiya Sanstha Limited will conduct its 8th Annual General Meeting (AGM) on Friday, 2 May. The meeting will start at 11:00 AM at the company’s central office in Tilottama-5, Rupandehi.

Dividend Proposals on the Agenda
The AGM will mainly focus on dividend distribution for the fiscal year 2080/81. The board has proposed a 5% bonus share and a 0.2632% cash dividend, including tax. These dividends are based on the company’s current paid-up capital.
If approved, shareholders will receive bonus shares that increase their investment value. At the same time, the small cash dividend will provide immediate returns. The cash portion also helps cover the tax liability of the bonus shares.
Financial Reports and Auditor Appointment
Besides the dividend, the meeting will also pass the audited financial statements for the last fiscal year.
Moreover, shareholders will appoint an external auditor for the current fiscal year 2081/82. They will also decide the remuneration for the auditor.
Proposal to Increase Capital
Another key agenda item is the increase of authorized, issued, and paid-up capital. The company plans to expand its capital base to support future growth.
To proceed, shareholders will consider amendments to the Memorandum of Association and Articles of Association. These changes will align the company’s official documents with the new capital structure.
The board will request authorization to make all necessary changes and complete legal procedures.
Board Nomination and Governance Updates
The AGM will also handle the nomination of new board members. This will fill any current vacancies on the Board of Directors. Strong governance is essential for maintaining trust and regulatory compliance.
Book Closure Completed
Earlier, the company had announced the book closure date as Baisakh 11 (April 24, 2025). As a result, only shareholders who held shares until Baisakh 10 (April 23, 2025) are eligible to participate in the AGM and claim the proposed dividends.
