SY Panel Nepal Limited’s Initial Public Offering (IPO) is set to begin on September 14, 2025 (Bhadra 29, 2082). The company, a subsidiary of a South Korean firm, has received approval from the Securities Board of Nepal (SEBON) to issue a total of 5,232,548 shares, each with a face value of NPR 100. The total value of the issuance is NPR 523.25 million, which accounts for 40% of the company’s issued capital. This IPO is being rolled out in two phases, starting with residents of industry-affected areas and Nepali citizens working abroad.
Allotment Breakdown and Application Process
The IPO is structured to prioritize specific groups in its first phase:
Industry-Affected Locals: A total of 261,627 shares (2% of the total IPO) have been allocated for residents of all wards of Ratnanagar Municipality in Chitwan, where the company’s operations are located.
Nepali Migrant Workers: A total of 497,092 shares (10% of the total IPO) will be issued to Nepali citizens working in foreign employment. This provision is part of a broader regulatory initiative to encourage investment from abroad.
Both groups can apply for a minimum of 10 shares and a maximum of 50,000 shares. The application process has been designed to be convenient for both groups. Locals can apply in person at SY Panel Nepal’s office in Ratnanagar, the Kathmandu office of Prabhu Capital, and at Prabhu Bank branches in Sauraha and Tandi. Online applications are also available through Prabhu Capital’s platform. For Nepali migrant workers, applications can be submitted through the Meroshare platform or via any C-ASBA member banks and financial institutions authorized by SEBON, ensuring accessibility from anywhere in the world.
Application Deadlines and Issue Manager
The IPO application deadlines are different for each group:
Locals (Industry-Affected Residents): The earliest closing date for applications is Ashoj 12, 2082 (September 28, 2025), with the latest closing date being Ashoj 27, 2082 (October 13, 2025).
Nepali Migrant Workers: The application period for this group is shorter, with the earliest closing on Ashoj 1, 2082 (September 16, 2025) and the latest closing on Ashoj 12, 2082 (September 28, 2025).
The issue and sales manager for this IPO is Prabhu Capital Limited, which will oversee the entire process from application to allotment.
