Citizens Bank Calls 20th Annual General Meeting to Approve Dividend

Citizens Bank International Limited has formally called its 20th Annual General Meeting for Ashwin 28.

Following a decision by the bank’s board of directors, the meeting will convene at Amritbhog in Kalikasthan, Dillibazar, Kathmandu at 11:00 AM. The assembly will review and pass the board of directors’ annual report for the fiscal year 2082/83, along with the auditor’s report, consolidated financial statements, profit-and-loss accounts, and cash flow reports for the bank and its subsidiary companies.
Proposed Dividend Distribution
The board of directors has submitted dividend distribution proposals for shareholder approval.
- Bonus Share Proposal: The bank proposes distributing 3.80 percent bonus shares to ordinary shareholders from its paid-up capital, amounting to a total value of 589.28 million rupees (58,92,83,617.34 rupees).
- Cash Dividend Proposal: The board has proposed a 0.20 percent cash dividend (inclusive of tax liability) from paid-up capital, totaling 31.01 million rupees (3,10,14,927.23 rupees).
- Total Distribution: Combined dividend payouts for ordinary shareholders stand at 4.00 percent of current paid-up capital.
Special Resolutions and Governance Agendas
The general assembly will deliberate on regulatory, structural, and administrative agendas.
- Memorandum Amendments: Special proposals include amending the bank’s Memorandum of Association and increasing its issued and paid-up capital structure.
- Board Authorization: Shareholders will vote to authorize the board of directors to execute required additions, modifications, or adjustments to the memorandum as directed by regulatory bodies.
- Auditor Appointment: Based on the audit committee’s recommendation, the assembly will vote to appoint auditors and fix their remuneration for the current fiscal year.
Book Closure and Shareholder Eligibility
The bank has published timeline details regarding trading cutoff dates and shareholder eligibility.
- Book Closure Date: Citizens Bank will close its shareholder registration book for one day on Ashwin 19.
- Eligibility Cutoff: Shareholders maintaining shares traded on the Nepal Stock Exchange (NEPSE) up to Ashwin 16 will be eligible to attend the Annual General Meeting and receive the proposed bonus shares and cash dividends.
