Hathway Investment Clarifies Fraudulent Notice Regarding 1.5 Million Share Sale

Hathway Investment Nepal Limited has issued a formal clarification regarding a forged letter circulating on social media and select online news outlets regarding a proposed sale of 1.5 million shares.

The company confirmed that the document—which misused its official letterhead, corporate stamp, and company secretary signature—is completely fraudulent.
Forged Document Details and Shareholder Status
The fake notice, bearing dispatch number 35/83/84 and dated Ashwin 11, 2083 BS, was addressed to the Nepal Stock Exchange (Nepse). It falsely claimed that major shareholder Ambika Prasad Poudel intended to divest 1,500,000 units of his shareholdings over the next three months.
Fraudulent Usage: The company confirmed that the letterhead, dispatch number, official seal, and company secretary signature were illegally fabricated without authorization.
Shareholder Position: Hathway Investment stated that no application, notice, or formal communication regarding a share divestment intention has been received from Ambika Prasad Poudel.
Regulatory Compliance and Legal Action
The company highlighted regulatory guidelines and announced legal remedies against those responsible for creating and circulating the fraudulent document.
Regulatory Framework: Under the directive issued by the Securities Board of Nepal (SEBON) on Bhadra 9, 2083 BS, basic shareholders of listed companies must provide at least 15 days’ prior written notice to the company before selling more than 5 percent of their holding. The company must then disclose this information via Nepse, with the notice remaining valid for three months.
Official Disclosure Channel: Hathway Investment emphasized that genuine disclosures will strictly be made through Nepse’s official notification portal and the company website.
Legal and Regulatory Complaint
The company has initiated formal written complaints with SEBON and Nepse. It is pursuing legal action under the Securities Act 2063, Electronic Transactions Act 2063, and the Muluki Criminal Code 2074 against the perpetrators and media outlets distributing the false letter.
Media Request
The company has requested media organizations to verify information with the company secretariat before publication and to retract previously published unverified reports with equal prominence given to this clarification.
