Citizen Investment Trust Signs Underwriting Agreement for Mahashakti Cement NPR 1.785 Billion Share Issue

The Citizen Investment Trust has formally entered into an agreement to underwrite the proposed public share issuance of Mahashakti Cement Limited.
CIT Signs Underwriting Agreement
The agreement was signed by Citizen Investment Trust Executive Director Parbat Kumar Karki and Mahashakti Cement Chairman Rajaram Khadka. Under this partnership, the Citizen Investment Trust guarantees institutional underwriting support for the cement manufacturer upcoming capital mobilization drive.
Share Issuance Value and Capital Mobilization
Mahashakti Cement Limited plans to issue 17,850,850 ordinary shares at a face value of NPR 100 per share. The total monetary value of the proposed share offering stands at NPR 1,785,085,700 (approximately NPR 1.785 billion).
The primary objective of the share offering is to raise industrial capital through the equity market to strengthen the company financial structure and support operational scaling.
Six-Month Issuance Deadline and Regulatory Conditions
The underwriting agreement sets specific timeline constraints and legal conditions for executing the share issue:
- Execution Window: Mahashakti Cement Limited must complete the public share issuance process within six months from the agreement signing date.
- Deadline Expiration Mandate: If the share issuance is not completed within the prescribed six-month timeframe, the existing underwriting arrangement will expire. Under prevailing legal provisions, the company will be required to execute a fresh underwriting agreement to proceed with the share offering.
