Machhapuchchhre Bank Proposes Dividend for FY 2082/83 Pending NRB Approval

Machhapuchchhre Bank Limited has proposed dividend distributions for its shareholders from its distributable profit and available share premium balance for the fiscal year 2082/83.

The proposal was finalized during the board of directors 564th meeting held on Bhadra 26, 2083.
The proposal has been formally submitted to the Nepal Stock Exchange Limited following a comprehensive review of the financial statements for the fiscal year ending Ashadh 2083, including the statement of financial position, profit and loss statement, and cash flow statement.
Proposed Dividend Breakdown
The bank board recommended payouts for both ordinary and preference shareholders based on the capital structure and distributable reserves:
- Ordinary Shares Cash Dividend: A 3% cash dividend on paid-up capital, amounting to NPR 362,586,347 (approximately NPR 36.26 crore). This amount includes applicable taxes on the distribution.
- Preference Shares Cash Dividend: An 8.25% cash dividend on preference shares, totaling NPR 74,589,041 (approximately NPR 7.46 crore), inclusive of taxes.
Calculation and Regulatory Approvals
For preference shareholders, the bank clarified that the dividend will be calculated on a proportional basis starting from the exact date of share allotment through the end of Ashadh 2083, rather than a uniform full-year application across all holders.
The proposed distributions remain subject to double authorization before implementation:
- Regulatory Approval: Endorsement from Nepal Rastra Bank, the central banking regulator.
- Shareholder Approval: Formal ratification by shareholders during the bank upcoming Annual General Meeting.

Machhapuchchhre Bank communicated the decision via an official letter signed by Company Secretary Subash Jamar Katel and listed under Chief Executive Officer Santosh Koirala. Copies of the disclosure were dispatched to the Securities Board of Nepal, the Office of the Company Registrar, CDS and Clearing Limited, and Machhapuchchhre Capital Limited.
