The decision to merge the two annual general meetings was finalized during a formal meeting of the Board of Directors held on August 12, 2026, corresponding to Shrawan 27, 2083 in the traditional Bikram Sambat calendar.
According to the official corporate notification, the joint meeting is scheduled to take place on September 3, 2026, corresponding to Bhadra 18, 2083. The assembly will officially begin at 10:00 AM at the Nepa Banquet located in New Bazaar, Kathmandu.
The joint assembly brings together shareholders to review past operational performance, ratify financial reports across two consecutive fiscal years, elect institutional leadership, and endorse substantial dividend payouts proposed by the board.
Breakdown of Proposed Combined Dividend Structure
The primary highlight of the upcoming Annual General Meeting is the proposal for a combined dividend of 22.5263 percent covering two fiscal years, namely fiscal year 2081/82 and fiscal year 2082/83.
The company leadership has structured the payouts across both periods to balance capital growth through bonus shares alongside direct cash distribution for investors.
For fiscal year 2081/82, Mandu Hydropower Limited has proposed a dividend of 10.5263 percent. This includes a 10 percent bonus share allocation along with a 0.5263 percent cash dividend designated primarily to cover applicable tax liabilities on the bonus share issue.
For fiscal year 2082/83, the company has proposed a straightforward 12 percent cash dividend, which includes applicable tax allocations.
Financial Value of Cash Dividend and Capital Details
The proposed 12 percent cash dividend for fiscal year 2082/83 represents a total monetary payout of 163.64 million Rupees.
This cash distribution is calculated based on the existing paid up capital of Mandu Hydropower Limited, which currently stands at 1.3636 billion Rupees.
The decision to propose both equity bonus shares and cash rewards reflects strong cash flow generation from the hydroelectric operations of the company. The capitalization of bonus shares expands the overall paid up equity base, while the cash component delivers immediate financial returns to retail and institutional investors.
