NCHL 14th AGM: 15% Bonus Shares Approved; National Card Switch Goes Live

Nepal Clearing House Ltd. (NCHL) has concluded its 14th Annual General Meeting on 18th December 2025 (3rd Poush, 2082) for the fiscal year 2081/82.

The AGM approved the audited financials for the fiscal year and for the issuance of 15% bonus shares and 0.789% cash dividend for tax purposes.
After the bonus shares, the paid-up capital of NCHL will be NRs. 1,458,511,500. Increase in capital will be used primarily to support its investments in National Payment Switch, additional payment systems for national and cross-border transactions, risk management systems, and enhancement of the existing infrastructures.
NCHL processed a total of 211 million transactions, equivalent to a settlement value of over NRs 18.6 trillion through its clearing and settlement systems during the fiscal year, which is an increase of over 67% in transaction count. The net profit of the company has increased by over 4% during the FY 2081/82.
The AGM also unanimously elected two members of the Board of Directors – Mr. Umesh Singh Bhandari (DCEO of Shangri-La Development Bank) representing development banks and Mr. Lacchaman Prasad Jaisi (Deputy General Manager of ICFC Finance) representing Finance Companies.
The NCHL Board is represented by a member from Nepal Rastra Bank, 3 members from commercial banks, 1 each from development banks and finance companies, and 1 independent director. NCHL’s shareholding structure includes 9.45% from Nepal Rastra Bank and 90.55% from the banks and financial institutions.
The AGM has also announced the commencement of the Closed User Group (CUG) Commercial Go-Live of NPS-National Card Switch and NEPALPAY Card as the national card scheme, corresponding to which it has started issuance from two BFIs and limited acquiring from 12 BFIs.
NCHL has been playing an instrumental role in driving digital payments in Nepal through various of its systems and under the principle of re-investment to build and operate national payment systems. It has over 54 BFIs as its direct members and over 100 non-bank institutions as its indirect or technical members within its network.
