Nepal Development Public Limited Concludes Second Annual General Meeting

Nepal Development Public Limited (NDP) has successfully completed its second Annual General Meeting under the chairmanship of company Chairman Chandra Prasad Dhakal, endorsing key financial reports and approving strategic capital deployment plans for fiscal year 2082/83 (2025/26).

Financial Performance and Dividend Approval
Dividend Allocation: The general meeting approved a 2.5 percent bonus share distribution based on current paid up capital, alongside a cash dividend of NPR 1,557,343 to cover shareholder tax obligations.
Profitability Metrics: NDP recorded a net profit after tax of NPR 73.3 million for fiscal year 2082/83, maintaining a total paid up capital base of NPR 1.1835 billion.
Financial Statements: Shareholders formally approved the annual report, audited balance sheet, and financial statements for the preceding fiscal year.
Capital Expansion and Governance Decisions
Foreign Capital Mobilization: Approved amendments to the Memorandum of Association empower NDP to issue convertible debentures, preference shares, and foreign investor financial instruments, as well as access international mechanisms such as the Green Climate Fund and blended finance facilities.
Public Issuance Framework: The meeting approved allocating 20 percent of issued capital to the general public and authorized the Board of Directors to execute corporate mergers, acquisitions, or regulatory updates.
Director Endorsement: The assembly formally ratified an independent director appointment made previously by the Board of Directors.
Strategic Outlook and Investment Commitments
Infrastructure Target: Chairman Dhakal highlighted that NDP aims to pool domestic and international resources into major national infrastructure projects, creating broad economic transformation beyond routine profit generation.
Sectoral Focus: Representing equity partners across all 77 districts of Nepal, NDP pledged to expand funding channels into hydropower, cable car tourism, and information technology.
