Key Agenda: Election of Three Board Members
One of the primary agendas of the AGM will be the election of three board members to represent the general shareholders. These elected members will play a crucial role in the bank’s governance and decision-making processes. Shareholders will have the opportunity to vote for the individuals who will serve on the board for the upcoming term.
Approval of Annual and Financial Reports
The AGM will review and approve the annual report and the financial statements for the fiscal year 2080/81 (2023/24). These reports will be presented by the board of directors and the auditors. Shareholders will discuss the bank’s financial performance and approve the documents as a reflection of the bank’s success and challenges during the previous fiscal year.
Appointment of Auditors and Remuneration
The appointment of auditors for the fiscal year 2081/82 (2024/25) will also be a part of the meeting. Shareholders will decide on the auditors and determine their remuneration for the upcoming year. This step ensures that the bank maintains transparency and accountability in its financial operations.
No Dividend Proposal for This Year
Unlike previous years, there will be no dividend proposal on the table during the AGM. This year’s focus will be on governance and financial reporting rather than on profit-sharing with shareholders.
Book Close Scheduled for 22nd Falgun 2081 (March 6, 2025)
In preparation for the AGM, Nepal Bank will conduct a book closure on 22nd Falgun 2081 (March 5, 2025). Shareholders must hold shares before 21st Falgun 20801(March 5, 2025) to ensure their participation in the AGM discussions and elections.
Looking Ahead to the Future
