Nesdo Sambridha Laghubitta AGM: 14.25% Bonus Share & March 23 Meeting

Nesdo Sambridha Laghubitta Bittiya Sanstha Limited will hold its sixth Annual General Meeting (AGM) on Chaitra 10 (March 23, 2025). The AGM will be held at Royal Kusma Resort in Parbat, starting at 11:30 AM.

Dividend Distribution Proposal
The company has proposed a 14.25% bonus share and 0.75% cash dividend for tax purposes. These proposals were discussed and decided by the Board of Directors during a meeting on Magh 13(February 26, 2025). The meeting will seek approval from shareholders to distribute these dividends.
Increase in Paid-Up Capital
After distributing the bonus shares, Nesdo Sambridha’s paid-up capital will increase. The company will propose amendments to its memorandum and articles of association to reflect this change. The AGM will also grant the board the authority to take steps toward merging with other microfinance institutions if deemed appropriate.
Approval of Annual Report and Appointment of Auditors
The AGM will review and approve the annual report for the fiscal year 2080/81 (2023/2024). Shareholders will also approve the financial statements. Additionally, the meeting will appoint auditors for the current fiscal year and determine their fees.
Book Closure Date Set for March 12, 2025
The company will close its books on Fagun 28 (March 12, 2025) for dividend distribution and AGM purposes. Only the shareholders registered by Fagun 27 (March 11, 2025) will be eligible to attend the AGM and receive the dividends.

To be eligible for the AGM and dividend distribution, shareholders must hold shares until Fagun 27 (11 March 2025). The AGM will cover key topics, including the bonus share distribution, merger discussions, and financial reports.
