SEBON Introduces New Directives for Listed Companies and Mutual Funds to Enhance Market Transparency

The Securities Board of Nepal (SEBON) has issued new regulatory directives for listed companies and mutual fund managers as part of the Capital Market Development Roadmap 2083 BS.

The measures are designed to strengthen market transparency, investor protection, and timely disclosures.
Disclosure Rules for Major Shareholder Sales
Pre Sale Notification Requirement: Any major shareholder owning 5 percent or more of a listed company total shares must inform the company at least 15 days prior to executing a share sale.
Public Disclosure via NEPSE: Upon receiving notice from a major shareholder, the listed company must immediately publish the disclosure to the general public through the Nepal Stock Exchange (NEPSE).
Disclosure Validity Period: The publicly disclosed notice will remain valid for a duration of three months.
Institutional Infrastructure Coordination: Central depository and clearing entities have been directed to align their operational mechanisms to ensure smooth processing of share registration, issuance, and transfers.
Daily Disclosure Mandate for Open Ended Mutual Funds
Daily Transaction Reporting: Fund managers of open ended mutual fund schemes are required to publish daily records of unit sales, redemptions, Systematic Investment Plan (SIP) transactions, and Dividend Reinvestment Plan (DRIP) activities on their official websites.
Operational Metrics Publishing: Fund managers must publish the daily Net Asset Value (NAV), total outstanding units, and total count of unitholders following the conclusion of each trading day.
Information Memorandum Availability: Mutual fund managers must keep approved scheme information documents continuously available on their official websites throughout the operating tenure of the mutual fund scheme.
