Siddhartha Bank Calls AGM to Approve Dividend Details and Book Closure Date

Siddhartha Bank Limited has convened its 23rd Annual General Meeting (AGM) to approve dividend distributions and financial statements for the previous fiscal year.

The decision was formalized during the bank’s 483rd Board of Directors meeting held on Ashoj 5.

AGM Schedule and Key Agenda Items

The bank has finalized the schedule and core proposals to be presented to shareholders.

• Meeting Schedule: The AGM is scheduled for Ashoj 28 at 9:00 AM at the Army Officers’ Club in Bhadrakali, Kathmandu.
• Financial Approvals: The assembly will review and endorse the annual report, auditor’s reports, financial statements, and consolidated financial results of its subsidiary, Siddhartha Capital Limited.
• Auditor Appointment: The meeting will formally appoint auditors for the current fiscal year and set their remuneration.

Dividend Declaration and Capital Revisions

The board has proposed specific dividend payouts for both preference and ordinary shareholders.

• Ordinary Shareholder Dividend: A total dividend proposal comprising a 10 percent bonus share distribution and a 10 percent cash dividend (inclusive of tax) based on ordinary paid-up capital.
• Preference Shareholder Dividend: An 8.25 percent cash dividend (inclusive of tax) allocated to non-cumulative preference shareholders based on preference paid-up capital.
• Articles Amendment and Corporate Governance: Special resolutions include amending the Memorandum and Articles of Association to reflect the post-bonus capital expansion, authorizing the board for necessary regulatory updates, and approving Corporate Social Responsibility (CSR) expenses.

Book Closure and Eligibility Date

A clear deadline has been set to determine shareholder entitlement for the dividend and meeting participation.

• Book Closure Date: Siddhartha Bank will execute a one-day book closure on Ashoj 16.
• Shareholder Eligibility: Investors holding shares prior to the Ashoj 16 book closure date will be eligible to receive the proposed dividends and participate in the AGM.
