The regulatory authority approved the capital issuance after modifying the company’s original proposal to conform with sector guidelines regarding fund utilization.
- Approval Quantum: The ERC granted pre-approval for the issuance of 5.94 million right shares valued at NPR 594 million at a par value of NPR 100 per unit.
- Revised Issue Ratio: The company is authorized to issue right shares at a ratio of 1:0.9252 (or 92.52 percent of paid-up capital), adjusted from its initial request for a 1:1 (100 percent) ratio.
- Current Paid-Up Capital: Supermai Hydropower currently maintains a paid-up capital base of NPR 642 million.
- Decision Dates: The decision was finalized during the 322nd board meeting of the Electricity Regulatory Commission on Ashwin 19, 2083 (with official decision records issued on Ashwin 23, 2083).
Fund Allocation Guidelines and Project Background
The ERC restricted the end-use of proceeds from the right issue strictly to institutional debt servicing.
- Debt Paydown Purpose: Out of the total capital raised, NPR 514 million will be directly utilized to clear bank loans owed to Nabil Bank Limited.
- Maintenance Restriction: The regulatory commission denied permission to raise equity for project equipment maintenance (originally requested at NPR 48 million), reducing the approved ratio from 1:1 to 1:0.9252.
- Operational Facility: Supermai Hydropower currently operates a 7.8-megawatt capacity hydropower project located in Ilam District.
- Next Steps: The developer will move forward with subsequent regulatory filings and capital market approvals to execute the right issue.
