The AGM approved dividend distributions, presented audited financial metrics, and elected founder group board directors.
Dividend Approvals and Capital Base Expansion
The assembly formally approved the proposed dividend distribution for ordinary shareholders alongside fixed payouts for preference shareholders based on Fiscal Year 2082/83 financial results.
- Ordinary Shareholder Dividend: Endorsed a total dividend of 15.80 percent, comprising 5 percent in bonus shares and 10.80 percent in cash.
- Preference Shareholder Dividend: Approved an 8 percent dividend distribution for non-cumulative perpetual preference shareholders.
- Post Bonus Capitalization: Issuance of the 5 percent bonus shares expands Nabil Bank’s total paid-up capital past NPR 33.40 billion.
- Historical Capital Growth: Bank leadership noted that the total paid-up capital has grown by 960 times since the institution’s initial inception.
Fiscal Year 2082/83 Financial Highlights
During the reviewed fiscal year, Nabil Bank recorded strong balance sheet expansion supported by steady growth across deposits and lending operations.
- Net Profit Performance: Earned a total net profit of NPR 7.91 billion for Fiscal Year 2082/83.
- Total Deposit Collection: Increased by 13.06 percent (NPR 69.67 billion) to reach NPR 602.93 billion.
- Loans and Advances: Expanded by 12.15 percent (NPR 51.68 billion) to stand at NPR 476.87 billion.
- Total Asset Size: Balance sheet expanded by 15.38 percent to reach a total value of NPR 734.76 billion.
Board Elections and Strategic Developments
The annual general meeting also finalized board appointments for founder shareholders and outlined long-term corporate initiatives.
- AGM Leadership and Venue: Chaired by Chairman Nirwan Kumar Chaudhary on Thursday at the Tribhuvan Army Officers’ Club in Bhadrakali, Kathmandu.
- Board Elections: Unanimously elected Nirwan Kumar Chaudhary, Malay Mukherjee, and Syed Mansur Mustafa as Directors representing founder shareholders.
- Digital Strategy: Operating its digital platform nBank with a long-term strategic objective to become an AI-ready bank by 2020.
- Revised Vision Architecture: Introduced a modernized Vision and Mission framework anchored on five core pillars: Trust, Transparency, Talent, Technology, and Transformation.
- Operational Network: Serving over 2.8 million customers through a nationwide network of 262 branches and 316 ATMs.
