Asha Laghubitta Bittiya Sanstha is holding its 8th Annual General Meeting (AGM) today, November 22, 2024 (Mangsir 7, 2081). The meeting, scheduled to begin at 3:00 PM, will take place at Hotel Ugracchandi in Banepa, Kavrepalanchok.

Key Agendas of the AGM

  1. Approval of Dividends:
    The AGM will approve a total dividend of 15% for the fiscal year 2080/81, as proposed by the board of directors. This includes:

    • 14.25% Bonus Shares
    • 0.75% Cash Dividend (for tax purposes).
  2. Merger and Acquisition Authority:
    A special resolution will authorize the board to proceed with mergers or acquisitions involving other microfinance institutions as necessary.
  3. Amendments to Regulations:
    The AGM will also grant authority to the board to amend the institution’s Articles of Association (AoA) and Memorandum of Association (MoA) as needed.
  4. Annual and Audit Reports:
    The meeting will review and approve the annual report and the auditor’s report for the previous fiscal year.
  5. Auditor Appointment:
    The AGM will appoint an auditor for the current fiscal year and set their remuneration.

Eligibility for Dividends and AGM Participation

The company had set its book closure date on November 10, 2024 (Kartik 25, 2081). Only shareholders who held shares before this date are eligible to receive dividends and participate in the AGM.
