Bikash Hydropower Company Limited has officially announced a dividend distribution and called its 5th Annual General Meeting (AGM) scheduled for Ashwin 29.

The meeting will convene at Hotel Smart Darbar Private Limited in Dhumbarahi, Kathmandu, starting at 9:30 AM. The company’s board of directors proposed the dividend from its current paid-up capital of NPR 909,101,300, which will be submitted for shareholder endorsement during the assembly.

AGM Agendas and Proposed Dividend Details
The general meeting will present both ordinary and special resolutions for shareholder review and approval.
- Proposed Bonus Shares: Distribution of a 10 percent bonus share issuance based on the existing paid-up capital of NPR 909,101,300.
- Proposed Cash Dividend: Distribution of a 0.5263 percent cash dividend (inclusive of tax) to cover tax obligations on the bonus share distribution.
- Financial Approvals: Formal review and endorsement of the previous fiscal year’s annual report, auditor’s report, and financial statements.
- Governance and Appointments: Appointment of an auditor for the current fiscal year, approval of board actions, endorsement of corporate governance reports, and discussions regarding director allowances and facilities.
- Special Resolutions: Authorization of amendments to the Memorandum and Articles of Association to reflect capital increases following the bonus share issue, alongside delegating administrative authority to the board for investment approvals.
Book Closure and Eligibility Schedule
The company has set the record date to determine eligible shareholders for dividend participation and meeting attendance.
- Book Closure Date: The shareholder register book will remain closed for one day on Monday, Ashwin 19.
- Shareholder Eligibility: Investors holding shares prior to the book closure date will be eligible to participate in the 5th AGM and receive the approved dividend distribution.
